Q1224. How are corporate legalization workflows managed when foreign signatories pass away?

Answered by the NYC Visa & Translation legalization desk
A signatory’s death requires an authority review before the corporate legalization file proceeds. Establish whether the document was validly signed before death or still requires execution. Ask counsel in the company’s jurisdiction whether the existing document remains usable and who can now represent the company. Obtain updated registry records, board resolutions, replacement powers of attorney, or estate documentation where legally necessary. Then confirm which records require notarization, origin-country authentication, embassy legalization, and Thai translation for the intended recipient. MFA legalization does not establish a deceased person’s continuing authority or cure invalid execution. A common pitfall is using an old power of attorney without checking whether it terminated. Verify submission requirements with the relevant embassy and Department of Consular Affairs before filing.
