Legal Basis
Formation follows the Civil and Commercial Code and DBD procedures. Current rules allow at least two promoters; check genuine subscriptions and continuing statutory company requirements. Registered objectives do not authorise every business activity. With foreign participation, review the foreign-person definition, restricted activities and sector laws. Nominee Thai ownership or a percentage split cannot be used to evade the law.

FAQ
- Must both shareholders be Thai nationals?
- Do not confuse promoter or shareholder numbers with nationality. Check company requirements and activity restrictions using genuine investors, not nominees.
- Can foreigners own every business outright?
- No. Review foreign-business and sector laws and actual entitlements. Do not assume all software is unrestricted or that List One activities can obtain an FBL.
- Can a bank account be opened immediately after incorporation?
- The bank must review information such as authorised signers, beneficial owners and activities. A corporate certificate does not guarantee approval.
- What obligations continue after incorporation?
- Maintain accounts, company records, financial statements and tax filings as applicable. No sales does not necessarily mean no filing duties. Ask our team for a quotation based on scope.
