Private limited company incorporation
End-to-end incorporation of a Thai private limited company: name reservation, memorandum of association, share structure, director authority, and filing with the Department of Business Development. Since 7 February 2023 two promoters suffice under the amended Civil and Commercial Code. We align the objectives and capital with what the company will actually do, because both drive later licensing, work permits and bank account opening. Legal basis
Civil and Commercial Code, Title on Partnerships and Companies, as amended by the Civil and Commercial Code Amendment Act (No. 23) B.E. 2565, which reduced the minimum number of promoters of a private limited company to two with effect from 7 February 2023, together with the forms and procedure of the Department of Business Development.
Approval is at the discretion of the receiving authority — the Department of Business Development, the Revenue Department, the Department of Employment, the Board of Investment and the Department of Intellectual Property, as applicable.
