Notary Public for Share Purchase Agreement (SPA)

สัญญาซื้อขายหุ้น (SPA) · § commercial
Before you proceed
Certify SPA signatures or copies as requested. Distinguish notarization from share-transfer instruments, shareholder-register updates and closing conditions.
Turnaround: Estimated after document review; consular and embassy steps depend on those offices.
Document scope and limits of certification
Identify whose signature is to be certified and in what capacity. Corporate buyers or sellers need evidence of representative authority and any joint-signature conditions; identity alone does not establish power to bind the entity.
Closing may also depend on payment, approvals and transfer instruments. Notarization does not establish that all conditions are satisfied or automatically update the shareholder register. Keep certification distinct from legal and company-record work.
What to prepare before an appointment
- Agreed execution SPA including annexes
- Party identification and authority evidence
- Requested certificate wording and relevant closing checklist
Certification steps requested by the recipient
Check the execution version and closing conditions → identify parties and representative authority → sign or present originals for the requested act → handle transfer instruments and company steps separately.
Typical use cases
- Witnessing SPA signatures when requested
- Certifying an executed copy for an overseas counterparty
Common pitfalls
- The SPA and share-transfer instrument may serve different roles; a notary stamp does not replace transfer formalities.
- Initials and counterpart execution depend on the agreed contract; they are not universal notary requirements.
- Check transfer restrictions and seller/buyer authority separately from certification.

Frequently asked questions
- Does Thailand have notaries public?
- Thailand uses Notarial Services Attorneys registered with the Lawyers Council of Thailand for notarial acts within their permitted scope. Acceptance abroad depends on the recipient. Ask which certifier, wording and any additional authentication it requires; notarial certification is not the same as an Apostille.
- What documents can a Notarial Services Attorney certify?
- Commonly certified items include signatures on powers of attorney, affidavits and statutory declarations, certified true copies of passports and corporate documents, company resolutions and share transfer forms, sponsorship and consent letters, and the identity of a signatory for foreign banks, universities and courts. The attorney certifies the signing act or copy fidelity — not the truth of the content.
- Do I have to sign in person?
- Yes. The attorney must see the signatory in person together with the original passport or Thai ID before certifying a signature, which is the core safeguard of the service. Remote or scanned signatures cannot be certified. Mobile appointments at your office, condominium lobby or a nearby café are available if you cannot come to ours.
- How much does notarial certification cost and how fast is it?
- Attorney notarial certification starts at the current official rate per document, with the final price depending on the number of documents, signatories and whether the appointment is mobile or out of hours. The certification itself is completed during the appointment; only the subsequent MFA and embassy steps add working days.
