Q1117. What securities regulations govern corporate bond prospectus translations?

Answered by the NYC Visa & Translation certified translation team
Corporate bond prospectuses in Thailand are governed by the SEC under the Securities and Exchange Act, and the translation work runs in two directions. Thai bonds offered to foreign investors (or Thai issuers with foreign-language disclosure needs): the Thai prospectus filed with the SEC is the governing disclosure document, and the English version for foreign investors is a translation that must state its status — the Thai text filed with the SEC governs; the key sections for translation are the risk factors, the use of proceeds, the financial information, and the bond terms (tenor, coupon, redemption, covenants, events of default). Foreign bonds marketed to Thai investors or held in Thai portfolios: the foreign prospectus (usually English) is translated into Thai where the Thai holder or regulator needs it, with the offering restrictions and selling restrictions sections preserved exactly because they define who may legally hold the bonds. Securities-law points that matter: the prospectus liability regime attaches to the filed document — the translation of a filed prospectus must be complete and faithful because investors rely on it; the bond covenants (financial covenants, negative pledge, cross-default) are the operative investor protections and must be translated with the defined terms tracked; and for Thai issuers with foreign-currency bonds, the exchange-control and withholding-tax disclosure sections describe statutory treatment that must match current law. Practice points: for ongoing disclosure (annual reports, event-driven announcements), keep the terminology consistent with the prospectus translation; and for default or restructuring situations, the bondholders' meeting documents follow the trust deed's procedures. Confirm the SEC's current disclosure requirements for the specific offering.
