Q1355. How do you register a limited company in Thailand?

Answered by the NYC Visa & Translation team
The main steps for incorporating a Thai limited company: (1) reserve the company name with the Department of Business Development (available online); (2) hold the statutory meeting to set shareholders, registered capital, and directors; (3) register the juristic person and receive the registration number and company affidavit; (4) register for tax with the Revenue Department (taxpayer ID, and VAT if the threshold is met or tax invoices are needed); (5) open a corporate bank account; (6) if hiring staff, register with the Social Security Office. Key documents: ID cards/passports of shareholders and directors, the office address, and the Memorandum of Association. Cautions: a reserved name has a limited validity — incorporate before it lapses; and where shareholders or directors are foreigners, some documents must be translated and legalised. Our team assists from name reservation through tax registration and bank account opening. This is general guidance; requirements and fees change — always verify with the Department of Business Development, the Department of Intellectual Property, or the Revenue Department before proceeding.
