Memorandum of Understanding Certification in Thailand

An MOU records the parties' shared intent. Some are not meant to be legally binding; others contain binding clauses such as confidentiality. Reading which clauses bind is the parties' job — a notary certifies the signatures and does not interpret whether the MOU is enforceable.

Certification scope and key checks

State clearly in the text which clauses are intended to bind and which are statements of intent, to reduce later disputes.

MOUs between foreign organisations are often required to be notarised and then legalised at consular affairs — ask the recipient before signing.

If the MOU leads to a main contract later, keep the notarised copy as a timeline record.

Documents to prepare

  • Final draft MOU
  • ID/passport of the signers and proof of authority if signing for an organisation
  • Recipient's requirements, if any

Procedure for this document

  1. Check the draft and signing authority
  2. Sign before the notary
  3. Translate and legalise if the recipient requires

Overseas use: confirm the recipient’s route

Notarization is not required for every public record, and some uses need no onward legalisation. Confirm whether the recipient needs an original, copy, translation or specific certification before arranging MFA and embassy steps where applicable.

Thailand deposited its accession on 30 June 2026. The Apostille Convention is scheduled to enter into force for Thailand on 28 February 2027. Do not assume Thai Apostilles are available before then. Even after entry into force, document scope and treaty relations with the destination must be checked.

Questions before booking

Is an MOU legally binding?
It depends on the intent and wording of that document — some clauses may bind even in an MOU.
Can the notary say which clauses bind?
No; the notary certifies signatures. Interpretation belongs to a lawyer advising on content.
Are witnesses needed?
It depends on the form and the recipient; some require two witnesses.
Are MFA and embassy legalisation always needed?
No. Ask the recipient to confirm the certification, language and onward steps. Notarization, translation and legalisation are distinct; do not perform every step automatically.
How are fees and timing assessed?
After reviewing the form, copies, signers, language and onward steps, we provide a quote and indicative schedule before work. Authority queues and outcomes are not guaranteed.
What should I send before booking?
Send the record type, destination country, receiving authority and its checklist through a direct contact channel. Redact personal information unnecessary for the initial enquiry.
