NDA / MSA / License Agreement · § ip

Before you proceed

Distinguish confidentiality NDAs, service MSAs and IP licences before certification. Check signers and annexes; notarization does not transfer or register IP rights.

Turnaround: Estimated after document review; consular and embassy steps depend on those offices.

Document scope and limits of certification

Assemble documents by contract type. An NDA addresses confidential information, an MSA may reference multiple work orders, and a licence needs the right, territory and permitted use identified. A contract label is not a substitute for reading its terms.

For trademarks or patents, check title evidence and any licence-registration requirements with DIP or the relevant destination IP office. Notary certification concerns only its stated act; it does not grant additional IP rights.

What to prepare before an appointment

  • Final contract with annexes or SOWs
  • Identification and signing authority
  • Relevant IP-right evidence and recipient checklist

Certification steps requested by the recipient

Identify contract type and recipient request → check annexes and licence-right evidence → confirm signing authority → certify the requested act and check any IP recording separately.

Typical use cases

  • Certifying an NDA for a counterparty
  • Providing an MSA/SOW or IP licence requested by the recipient

Common pitfalls

  • An NDA does not grant IP use; an MSA may need its statement of work.
  • Check the licensor’s rights and IP type; do not assume the signer owns them.
  • Signature certification does not replace licence registration where required by law.

Frequently asked questions

Does Thailand have notaries public?
Thailand uses Notarial Services Attorneys registered with the Lawyers Council of Thailand for notarial acts within their permitted scope. Acceptance abroad depends on the recipient. Ask which certifier, wording and any additional authentication it requires; notarial certification is not the same as an Apostille.
What documents can a Notarial Services Attorney certify?
Commonly certified items include signatures on powers of attorney, affidavits and statutory declarations, certified true copies of passports and corporate documents, company resolutions and share transfer forms, sponsorship and consent letters, and the identity of a signatory for foreign banks, universities and courts. The attorney certifies the signing act or copy fidelity — not the truth of the content.
Do I have to sign in person?
Yes. The attorney must see the signatory in person together with the original passport or Thai ID before certifying a signature, which is the core safeguard of the service. Remote or scanned signatures cannot be certified. Mobile appointments at your office, condominium lobby or a nearby café are available if you cannot come to ours.
How much does notarial certification cost and how fast is it?
Attorney notarial certification starts at the current official rate per document, with the final price depending on the number of documents, signatories and whether the appointment is mobile or out of hours. The certification itself is completed during the appointment; only the subsequent MFA and embassy steps add working days.
