A Thai limited company can be formed by two or more promoters under section 1097 of the Civil and Commercial Code, as amended by the Civil and Commercial Code Amendment Act (No. 23) B.E. 2565, which reduced the former requirement of three. There is no general statutory minimum capital, but employing a foreigner normally requires THB 2 million of paid-up capital per work permit and four Thai employees per foreign worker. A foreigner carrying on a business in the schedules to the Foreign Business Act B.E. 2542 needs a licence or certificate first, unless it qualifies under the US-Thai Treaty of Amity or holds a promotion certificate from the Board of Investment under the Investment Promotion Act B.E. 2520.
