Q1048. What procedures apply when translating international franchise agreements for market entry in Thailand?

Answered by the NYC Visa & Translation certified translation team
International franchise agreements for Thai market entry involve two document layers: the franchise agreement itself, and the disclosure and registration layer. Thailand currently has no franchise-specific registration statute (the proposed franchise law has not been enacted), so the agreement is governed by general contract law — but sector rules (food, education, retail) and the Trade Competition Act guidelines on franchising apply. The translation workflow: the master franchise agreement, disclosure documents, operations manuals (relevant portions), and any trademark licence are translated into Thai for the Thai franchisee's review and for any filings; where the agreement will be enforced or litigated in Thailand, a certified Thai translation of the full agreement is needed. Key translation points: fee structures (initial fee, royalty, marketing fund) must be rendered with the calculation basis exact; territory definitions and exclusivity clauses are the most-litigated provisions and need precise translation; and the governing-law and dispute-resolution clauses (often foreign arbitration) must be translated so the Thai party understands the forum it is accepting. For the foreign franchisor's due diligence on the Thai partner, corporate documents flow the other direction (Thai→English, MFA certification, embassy legalisation). Timing for a full franchise package translation typically runs 2–6 weeks depending on manual length. Have the Thai counsel review the translated key clauses before signing.
