Q1074. How to translate internal governance bylaws for international organizations operating in Thailand?

Answered by the NYC Visa & Translation certified translation team
International organisations operating in Thailand — UN agencies, international NGOs, treaty bodies, and foreign chambers — need their governance documents in Thai for three purposes: registration or agreement with the Thai government (host-country agreements, MOUs with the Ministry of Foreign Affairs), employment and administrative use for Thai staff, and banking or procurement where Thai counterparties require Thai documents. The translation approach: the organisation's constitution, bylaws, or statutes are translated in full with a terminology glossary established from the organisation's own existing Thai usage (UN agencies have established Thai terminology that should be followed); governance terms that have no exact Thai equivalent (quorum rules, officer titles, committee structures) are translated with the English term retained in parentheses at first occurrence; and where the bylaws will be submitted to a Thai authority, the translation is certified (MFA 200/quoted on request per stamp) with legalisation through the organisation's chain where required. Points that matter: the legal personality and immunities clauses (for treaty-based organisations) must be translated consistently with the host-country agreement's Thai text; internal delegations of authority matter for banking — Thai banks require the translated bylaws plus the board resolution appointing signatories; and amendments must be translated as they occur so the Thai version stays current. For NGOs registering under Thai law, the registrar's office specifies the document set. Confirm the receiving authority's requirements before commissioning.
